1. Purpose and confidential information: The parties exchange information solely for the purpose stated above. Confidential information includes client data, designs, print files, pricing calculations, technical details and information expressly identified as confidential.
2. Mutual obligations: Each party protects the other party’s information with reasonable care and uses it only for the agreed purpose. Access is limited to necessary staff and appointed partners bound by equivalent confidentiality obligations. Publication or disclosure to other third parties requires prior written consent.
3. Exceptions: Obligations do not cover information demonstrably already lawfully known, public, independently developed or lawfully received from third parties. For legally required disclosure, the other party is notified in advance where permitted, and only necessary information is disclosed.
4. Return and deletion: Confidential documents are returned or deleted on written request. Legally required records and technically unavoidable backup copies remain protected and must not be used for other purposes.
5. Rights, duration and agreement: No licence or project award is granted. Duration, law and jurisdiction apply as jointly agreed above, where legally permissible. Changes require written agreement. Effective only after agreement on all terms and signature by both parties.
